Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and SaidText Srl ("SaidText", "we", "us") governing your access to and use of the SaidText voice-powered safety reporting platform, including all related applications, APIs, and documentation (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

SaidText provides a voice-powered documentation platform designed to capture, structure, and export safety and maintenance records for industrial operations. The Service generates structured reports formatted for OSHA 300/301 export workflows. SaidText is not certified or endorsed by OSHA and does not determine incident recordability or guarantee regulatory compliance. Employers retain full responsibility for compliance decisions, recordkeeping accuracy, and regulatory adherence.

3. Subscription Plans and Payment

The Service is offered under tiered subscription plans: Starter ($490/month), Pro ($1,490/month), Business ($3,490/month), and custom Enterprise pricing. All fees are billed monthly in advance in US dollars. Prices are subject to change with thirty (30) days' written notice. You are responsible for all applicable taxes. Failure to pay may result in service suspension.

Paid subscriptions are backed by a 14-day money-back guarantee. If you are not satisfied within fourteen (14) days of your initial purchase, contact us for a full refund of that initial subscription payment.

4. Customer Data Ownership

You retain all rights, title, and interest in your data, including all safety records, incident reports, audio recordings, and exported files ("Customer Data"). SaidText does not claim ownership of Customer Data. We process Customer Data solely to provide and improve the Service in accordance with our Privacy Policy. Upon subscription termination, you may export your data using the platform's built-in export tools for up to thirty (30) days following cancellation.

5. Acceptable Use

You agree to use the Service only for lawful business purposes related to workplace safety documentation and reporting. You shall not: (a) reverse-engineer, decompile, or disassemble any part of the Service; (b) use the Service to store or transmit malicious code; (c) attempt to gain unauthorized access to other users' accounts or data; (d) resell or sublicense the Service without written authorization; or (e) use the Service in any manner that violates applicable laws or regulations.

6. Service Availability and Support

SaidText targets 99.9% uptime for the production environment, measured monthly excluding scheduled maintenance windows. Scheduled maintenance is communicated at least forty-eight (48) hours in advance. Support is provided via email during business hours (Monday–Friday, 9:00 AM–6:00 PM Eastern). Enterprise plans include dedicated support channels and priority response times as defined in the applicable service level agreement.

7. Limitation of Liability

To the maximum extent permitted by law, SaidText's total aggregate liability under these Terms shall not exceed the amount paid by you in the twelve (12) months preceding the claim. SaidText shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages. SaidText is not responsible for OSHA citations, penalties, fines, or regulatory actions arising from your use or non-use of the Service.

8. Indemnification

You agree to indemnify and hold harmless SaidText, its officers, directors, and employees from any claims, losses, or damages arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claim related to your Customer Data or safety compliance decisions.

9. Termination

Either party may terminate the subscription with thirty (30) days' written notice. SaidText may suspend or terminate access immediately for material breach of these Terms, including non-payment. Upon termination, your right to access the Service ceases. Customer Data remains available for export for thirty (30) days following termination, after which it is permanently deleted in accordance with our Privacy Policy.

10. OSHA and Regulatory Disclaimer

SaidText is a documentation and reporting tool. It is not certified or endorsed by OSHA, does not provide legal advice, and does not determine whether incidents are OSHA-recordable. Export formats are designed to be compatible with OSHA 300 and 301 workflows but do not guarantee regulatory acceptance. Employers remain solely responsible for all compliance decisions, recordkeeping obligations, and regulatory submissions. SaidText recommends consulting qualified legal and safety professionals for compliance determinations.

11. Governing Law

These Terms are governed by the laws of Italy. Any disputes shall be resolved by the competent courts of Italy, unless mandatory consumer-protection rules of your jurisdiction require otherwise.
